Terms of Service

These terms govern catering services provided by Bowl & Soul, S.L.
1. Service Description
True Roots provides customized catering services for private and corporate events in Barcelona and surrounding areas.
All proposals are individually prepared based on client requirements.
1.5 Scope of These Terms
These Terms of Service apply ONLY to:
- Catering services (grazing boxes, event catering, corporate orders)
- Bistro takeaway orders (when ordered in advance)
NOT covered by these terms:
- Bistro dine-in services (governed by separate house rules)
- Consulting services (governed by individual consulting agreements)
- Community events and workshops (separate ticketing terms apply)

2. Booking Confirmation
A booking is considered confirmed only after:
- Written confirmation (email)
- Receipt of 50% prepayment
Without prepayment, the date is not reserved.
3. Payment Terms
- 50% deposit required upon confirmation
- Remaining 50% payable before the event date
- Payment method: Bank transfer
Late payments may result in cancellation.
4. Cancellation Policy
- Free cancellation up to 21 days before event date
- Cancellation within 21 days: deposit non-refundable
- Cancellation within 7 days: full payment may be due
4.5 Client Responsibilities & Allergen Disclosure
4.5.1 Mandatory Information
Client MUST provide in writing, minimum 7 days before event:
- Complete list of all guest allergies and dietary restrictions
- Expected number of guests
- Event duration and serving schedule
- Venue address and facilities available
4.5.2 Allergen Disclaimer
While we take all reasonable precautions:
- We cannot guarantee complete absence of trace allergens
- Our kitchen handles nuts, gluten, dairy, shellfish, and other common allergens
- Cross-contamination may occur despite our best efforts
- Clients with severe allergies should consult medical professionals before ordering
4.5.3 Changes to Guest Count
- Final guest count must be confirmed 72 hours before event
- Changes within 72 hours may incur additional charges
- We prepare for confirmed number + 5% buffer
- Client pays for confirmed quantity regardless of actual attendance
5. Menu & Allergens
Clients must inform us in advance of any:
- Allergies
- Dietary restrictions
We take reasonable precautions but cannot guarantee absence of trace allergens.
6. Force Majeure
Bowl & Soul, S.L. shall not be liable for failure to perform due to events beyond reasonable control (natural disasters, government restrictions, etc.).
7. Limitation of Liability
7.1 Service Liability
Bowl & Soul, S.L. liability for any claims arising from catering services is strictly limited to the total amount paid for the specific service in question.
7.2 Excluded Damages
We shall not be liable for:
- Any indirect, consequential, special, or punitive damages
- Loss of profits, revenue, or business opportunities
- Damage to reputation
- Any claims arising more than 24 hours after service delivery
7.3 Food Safety
- All food is prepared following Spanish food safety regulations (Real Decreto 3484/2000)
- Client assumes full responsibility for proper food storage, handling, and temperature maintenance after delivery/collection
No liability for food-related issues if client fails to:
- Refrigerate perishable items immediately upon receipt
- Consume food within recommended timeframes
- Maintain proper serving temperatures
- Follow provided food handling instructions
7.4 Third-Party Venues
When services are provided at client-selected venues, Bowl & Soul, S.L. is not responsible for:
- Venue conditions, facilities, or equipment
- Access restrictions or delays
- Venue-related injuries or damages
7.5 Client Indemnification
Client agrees to indemnify and hold Bowl & Soul, S.L. harmless from any claims by third parties (event guests, venue operators, etc.) arising from:
- Client's failure to disclose complete allergen/dietary information
- Client's modification or mishandling of delivered food
- Incidents at client-controlled venues
8. Governing Law
These terms are governed by Spanish law. Disputes shall be resolved in the courts of Barcelona.
8.5 Dispute Resolution Process
Before initiating legal proceedings, parties agree to:
Step 1: Good Faith Negotiation (15 days)
- Written complaint must be submitted within 24 hours of service delivery
- Include: detailed description, photographic evidence, proposed resolution
- We commit to respond within 48 business hours
Step 2: Mediation (if Step 1 fails)
- Mediation via Barcelona Chamber of Commerce (Cámara de Comercio de Barcelona)
- Costs split equally between parties
- 30-day mediation period
Step 3: Legal Action
- Only after Steps 1–2 are exhausted
- Governed by Spanish law
- Exclusive jurisdiction: Courts of Barcelona
9. Intellectual Property & Confidentiality
9.1 Ownership
All recipes, menu concepts, food presentations, styling techniques, and proprietary processes remain exclusive property of Bowl & Soul, S.L.
9.2 Client Restrictions
Client agrees NOT to:
- Reproduce, replicate, or reverse-engineer our recipes or presentations
- Share our recipes or concepts with third-party caterers or food businesses
- Use our concepts for commercial purposes without written permission
- Photograph our setup/process for commercial use without authorization
9.3 Personal Use
Clients may photograph final food presentations for personal social media use with proper credit (@trueroots.bcn or @trueroots.tr).
9.4 Consulting Services
Intellectual property terms for consulting projects are governed by separate consulting agreements.
10. Data Protection & Privacy
10.1 Personal Data Processing
By using our services, you consent to collection and processing of personal data as described in our Privacy Policy.
10.2 Data We Collect
For catering services, we process:
- Contact information (name, email, phone)
- Event details (date, location, guest count)
- Dietary restrictions and allergen information
- Payment information
10.3 Third-Party Sharing
We do not sell or share your data with third parties except:
- Payment processors (for transaction processing)
- Delivery partners (when applicable)
- Legal authorities (when required by law)
10.4 Data Retention
- Active client data: retained during business relationship + 2 years
- Financial records: 10 years (Spanish tax law requirement)
- Marketing opt-outs: honored immediately
10.5 Your Rights
You have the right to:
- Access your personal data
- Request corrections
- Request deletion (subject to legal retention requirements)
- Withdraw consent for marketing communications
